These terms apply to BTW Kwartier, a service of JRK Digital Media B.V. Please also read the privacy statement, the data processing agreement and the list of subprocessors.
1. Who we are
1.1 BTW Kwartier is a service of JRK Digital Media B.V. (hereinafter "JRK", "we" or "us"):
- JRK Digital Media B.V.
- Johan de Wittlaan 7, 2517 JR The Hague, the Netherlands
- Chamber of Commerce (KvK) 98096591
- VAT ID NL868356967B01
- info@jrkdm.com
1.2 These terms apply to every use of the app and the website btwkwartier.nl and to every subscription to them.
2. Businesses only
2.1 BTW Kwartier is intended exclusively for entrepreneurs acting in the course of their trade or business. When you register, you declare that you act in that capacity. Consumers cannot create an account.
2.2 You register on behalf of a business. Whoever registers declares that they are authorised to bind that business. That business is "the customer" or "you".
2.3 You can give other people, such as employees or your bookkeeper, access. Their actions in the app count as actions of the customer.
3. What BTW Kwartier does and does not do
3.1 BTW Kwartier is software with which you prepare your quarterly VAT (btw) return yourself. The software reads your bank statements and invoices, asks questions about items it is not sure about, and uses fixed calculation rules to compute a draft return, with the underlying items for each box.
3.2 You file the return yourself via Mijn Belastingdienst Zakelijk and you pay the VAT yourself. JRK does not file returns on behalf of the customer, is not an intermediary with the Dutch Tax Administration and does not pay tax on behalf of the customer.
3.3 BTW Kwartier does not give tax advice. Explanations, questions, suggestions and calculations in the app are general information and calculation aids, not advice about your personal situation. If you are in doubt, or your situation does not fit the app, consult a tax adviser or accountant. We can refer you (article 11).
3.4 BTW Kwartier only supports the situations described at sign-up: your own quarterly return, no small business scheme (KOR), no exempt turnover, no margin scheme, no goods crossing borders, no cash accounting, established in the Netherlands and not a holding company without its own turnover. If the software recognises a situation outside this scope, it blocks the return and we refer you. We do not guarantee that the software recognises every situation outside this scope; you are responsible for answering the admission questions correctly.
3.5 We use AI to read documents, match items and suggest questions. AI never calculates amounts or boxes; fixed calculation rules do. Every AI suggestion is marked as such and is only applied when a fixed calculation rule or you confirm it.
4. Account and security
4.1 You keep your login details secret and use two-step verification. Every use of your account counts as use by you, unless you informed us immediately after discovering misuse.
4.2 We never ask for your password, your login code or your login details for the Dutch Tax Administration (DigiD or eHerkenning).
5. Your responsibilities
5.1 You ensure that the data you provide, such as bank statements, invoices, answers to questions and the answers to the admission questions, is complete and correct and belongs to the customer.
5.2 You check the draft return before you confirm and file it. You are responsible for the content of the return, filing it on time, paying the VAT due on time and keeping your records.
5.3 You comply with the law when using the service and do not upload data for which you have no legal basis or that is not needed for the return.
6. Our efforts
6.1 We make every effort to provide the service carefully, securely and with the best possible availability. This is an obligation of effort; we do not guarantee that the service works without errors or interruptions.
6.2 We maintain the calculation rules and adapt them to changes in the law. Every draft states the version of the calculation rules used to compute it.
6.3 We announce planned maintenance in advance and schedule it, as far as possible, outside the last five working days before a filing deadline.
7. Confirming is authorising
7.1 Before you file a return, you confirm the figures in the app with your two-step code. In doing so you declare, in the words the app shows at that moment, that you have checked the draft, that in your view the figures are correct and complete, and that you will file the return and pay the VAT yourself.
7.2 Your confirmation counts as your authorisation of exactly that draft. We record who confirmed, when, with which text, and the unique fingerprint (hash) of the confirmed figures. If anything in the underlying data changes afterwards, the confirmation lapses and you must confirm again.
7.3 After your confirmation, the app shows the amounts per box as you enter them in Mijn Belastingdienst Zakelijk. You copy them and file. If you deviate from the confirmed draft when filing, that is at your own risk.
7.4 A confirmation is not an approval by JRK and not a statement that the return is correct for tax purposes.
8. Prices, invoices and payment
8.1 Prices are shown on the website and in the app. All prices exclude VAT unless stated otherwise.
8.2 You pay per return that BTW Kwartier prepares for you, that is per company per quarter. A company's quarter is charged when you confirm the figures in the app (article 7), or earlier if you mark the return as filed in the app. Each quarter of a company is charged at most once, even if you confirm again. Each company-quarter includes 150 transactions on the business bank account(s); for every transaction above that you pay €0.20 (excl. VAT), charged together with that quarter's return.
8.3 Not charged are:
- a nil return, in which all boxes are zero;
- a quarter of a company you have archived;
- a quarter of a company that, according to the admission questions, is not suited to filing yourself.
8.4 You pay through our payment service provider Stripe. When choosing your subscription you give a direct debit mandate (SEPA) or register a payment card. We collect the amount after we have sent the invoice. You give your account or card details directly to Stripe; we do not store them.
8.5 Our invoices are in Dutch. We send them electronically and you can also find them in the app.
8.6 If a payment fails, we send you a reminder. If payment remains outstanding, we may limit the service to read-only. You can still view and export your data, and you may complete a return you had already started.
8.7 We may change our prices. We announce a price increase at least 30 days in advance; it does not apply to quarters you have already confirmed. If you do not agree with the increase, you can cancel before it takes effect.
9. Term and cancellation
9.1 Your subscription runs for an indefinite period. You can cancel it at any time in the app. Quarters you confirmed or marked as filed before cancelling remain payable; after that we charge nothing more.
9.2 We can cancel the subscription with at least two months' notice. In the event of a serious breach of these terms, such as misuse, fraud or non-payment after repeated reminders, we can end the subscription immediately.
10. End: export and deletion
10.1 After your subscription ends, your account is read-only. From then on you have 90 days to export all your data: the drafts and confirmations, the underlying items, the documents you uploaded and the log. On request we deliver a complete export in a common format during that period. If you never had a paid subscription (only the free check), the same period starts after 12 months without login or activity; logging in cancels it.
10.2 As the owner you can ask in Settings for your account to be deleted. Your subscription then stops immediately, your account becomes read-only and the 90-day period starts. Time already paid for but not yet used is forfeited and not refunded. You can withdraw your request until the deletion date. If you start a subscription again before the deletion date, the deletion does not go ahead.
10.3 Everyone with access to the account gets an email 14 days before we delete; we never delete earlier than 14 days after that email. If a payment is still outstanding, we wait with deleting until it is settled. Then we delete all your customer data: original documents and bank statements, transactions, returns and drafts, questions and answers, rules and raw AI outputs. We anonymise the users. Backups are overwritten within 35 days after that.
10.4 We keep only what we need for our own legal duties: our invoices to you, the record of your acceptance of these terms and of your confirmations (article 7), a log with references only a record that the deletion took place, with dates and counts only, and anonymised records of partner firms' fees, each for 7 years.
10.5 While your account exists, we automatically delete the file of an original document or bank statement 7 years after the end of the quarter it belongs to. The data we extracted from it is kept as long as your account exists.
10.6 The tax retention obligation (as a rule 7 years, article 52 of the Dutch General Tax Act, AWR) rests with you. Export your records before your account ends.
11. Referral to a partner accountant
11.1 If your situation does not fit BTW Kwartier, or you want help, we can put you in touch with an independent accounting or bookkeeping firm we work with. We only do so with your explicit consent, and we then share only the data shown on the consent screen.
11.2 The firm concludes its own agreement with you and is itself responsible for its advice and work, including customer due diligence under the Dutch anti-money-laundering act (Wwft). JRK is not liable for the firm's services.
11.3 For the referral, the firm pays JRK a fee of 30% to 50% of what the firm charges you in the first year. The firm may not pass that fee on to you.
12. Intellectual property and your data
12.1 The software, the calculation rules and the texts remain the property of JRK or its licensors. You receive a non-exclusive, non-transferable right to use the service for as long as your subscription runs.
12.2 Your data remains yours. We use it only to provide the service to you and do not use it to train AI models.
13. Liability
13.1 We are only liable for direct damage resulting from an attributable failure, after you have given us written notice of default with a reasonable period to remedy the failure.
13.2 Our total liability per year is limited to the amounts you paid us for the company concerned in the 12 months before the event causing the damage, with a maximum of € 2,500.
13.3 We are not liable for:
- indirect damage, consequential damage, lost profit or loss of data;
- tax you owe or that is additionally assessed, because you would owe it without the service too;
- fines and tax interest resulting from data or answers you provided, from not filing or paying, or filing or paying late, or from deviating from the confirmed draft;
- damage from a situation outside the scope of the service (article 3.4) if you answered the admission questions incorrectly.
13.4 The limitations in this article do not apply in the event of intent or deliberate recklessness (gross negligence) on the part of JRK or its management.
13.5 A claim lapses if you have not held us liable in writing within 12 months after you knew or should have known of the damage.
14. Privacy and data processing agreement
14.1 For the bookkeeping data you process through the app, we are your processor. Our data processing agreement (verwerkersovereenkomst) applies to this. It forms part of these terms and is published on the data processing agreement page; by accepting these terms you also accept the data processing agreement. The subprocessors we engage are listed on the subprocessors page; we announce changes at least 30 days in advance.
14.2 For your account details, invoices and our contact with you, we are the controller ourselves. See the privacy statement.
15. Force majeure
In the event of force majeure we do not have to perform our obligations for as long as it lasts. Examples are outages at hosting, AI or payment providers, outages of the Dutch Tax Administration or VIES, and cyber attacks despite appropriate security. If force majeure lasts longer than 30 days, either party may end the subscription.
16. Changes
16.1 We may change these terms. We announce a change at least 30 days in advance, and at your next login we ask you to accept the new version. If you do not agree with a change to your disadvantage, you can cancel before it takes effect.
16.2 Changes required by law or that are only to your advantage can take effect immediately.
17. Applicable law and language
17.1 Dutch law applies to these terms and the subscription. Disputes are submitted to the competent court in The Hague, unless mandatory law designates another court.
17.2 If a provision is void or voidable, the other provisions remain in force and the parties replace the provision with a valid one that comes as close as possible to its purpose.
17.3 These terms are available in Dutch, English and Chinese. If the languages differ, the Dutch text prevails.
